By accessing and using the MS ADS NETWORK platform ("Platform"), you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not use our services.

2. Description of Services

MS ADS NETWORK provides a programmatic advertising platform that enables:

• Real-time bidding (RTB) for digital advertising inventory
• Campaign management and optimization tools
• Advanced targeting and audience segmentation
• Analytics and reporting capabilities
• SSP integration and ad exchange connectivity

3. User Accounts

3.1 Registration

To use certain features, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized access or security breaches.

4. Acceptable Use

You agree not to:

• Use the platform for illegal or fraudulent activities
• Upload malicious code, viruses, or harmful content
• Interfere with platform security or functionality
• Violate intellectual property rights
• Engage in click fraud or invalid traffic generation
• Misrepresent your identity or business
• Use automated systems to access the platform without authorization

5. Advertising Content

5.1 Creative Approval

All advertising creatives must comply with our content policies and are subject to review and approval. We reserve the right to reject or remove any content that violates our policies.

5.2 Prohibited Content

Prohibited content includes: illegal products/services, adult content, misleading claims, copyrighted material without permission, and content that violates applicable laws or regulations.

6. Payment Terms

6.1 Billing

Advertisers must maintain sufficient account balance to fund campaigns. Charges are deducted in real-time as impressions are served. SSP partners receive payments according to agreed revenue share terms.

6.2 Refunds

Refunds are processed in accordance with our refund policy. Invalid traffic or policy violations may result in account suspension and forfeiture of funds.

7. Intellectual Property

The Platform, including all software, designs, trademarks, and content, is the exclusive property of MS ADS NETWORK. You retain ownership of your advertising creatives and content, but grant us a license to use, display, and distribute such content in connection with platform services.

8. Limitation of Liability

To the maximum extent permitted by law, MS ADS NETWORK shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of the platform. Our total liability is limited to the amount you paid for services in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless MS ADS NETWORK from any claims, damages, losses, or expenses arising from your use of the platform, violation of these terms, or infringement of third-party rights.

10. Termination

We may suspend or terminate your account at any time for:

• Violation of these terms or our policies
• Fraudulent or illegal activity
• Non-payment or payment disputes
• Extended account inactivity

11. Modifications to Terms

We reserve the right to modify these terms at any time. Material changes will be notified via email or platform notification. Continued use after changes constitutes acceptance of the modified terms.

12. Governing Law

These terms are governed by the laws of the State of California, United States. Any disputes shall be resolved in the courts of San Francisco, California.
